Our commitment to being responsible stewards of capital and maintaining a safe workplace is built upon these standards. We believe it is imperative that our officers, Directors and employees act at all times responsibly and in an honest and ethical manner in connection with their service to Annaly.

Annaly’s Code of Business Conduct and Ethics

Annaly’s Code of Business Conduct and Ethics applies to all of our officers, Directors and employees. This code covers a wide range of business practices and procedures, setting basic principles and guidelines for resolving various legal and ethical questions that may arise in the workplace and in the conduct of business. All employees, officers and Directors must affirm that they have read and understand the Code of Conduct and that they are in compliance with the Code of Conduct on an annual basis.

Compliance Training

体育比分网All employees and members of management are required to complete Ethics and Code of Conduct Training at commencement of employment and annually thereafter. The training covers compliance with applicable laws, employee obligations, business conduct, insider trading, confidentiality and privacy, communications, bribery and corruption and other topics.

Reporting Illegal or Unethical Behavior

体育比分网We encourage all employees to talk to supervisors, managers or other appropriate personnel about observed illegal or unethical behavior. Employees should, and are expected to, report actual and suspected violations of laws, rules, regulations or the Code of Business Conduct and Ethics to appropriate personnel. If the concerns require confidentiality, then this confidentiality will be protected to the extent possible.

体育比分网In addition, any employee, officer or Director may raise concerns confidentially about our Company’s conduct, accounting, internal controls or auditing matters with the Independent Chair, the Independent Directors, the chair of the Audit Committee or through our whistleblower phone hotline or e-mail inbox.

体育比分网We have a robust corporate compliance function, headed by a Chief Compliance Officer, who has reporting lines to the Board Audit Committee. The Corporate Compliance Group is responsible for the oversight of our Company's regulatory compliance.

Business Integrity and Fair Competition

We are committed to upholding the highest ethical standards and to that end it is Annaly’s strict policy to comply with the Foreign Corrupt Practices Act (“FCPA”). Under the FCPA, Annaly employees are strictly prohibited from participating in any activities or practices that may be considered bribery, including but not limited to:

  • Giving, offering, promising or authorizing, directly or through a third party, the payment of money or anything of value to any external party in an effort to influence any act or decision by a current or potential client
  • Requesting, agreeing to receive or accepting an advantage, with the intent of providing a reciprocal advantage to the person making the offer
  • Making unlawful political contributions
  • Making charitable contributions with the intent to improperly influence any act or decision
  • Accepting requests for false invoices or unusual, excessive or inadequately described expenses
